These Terms and Conditions (the “Agreement”) set forth the legally binding terms and conditions for your use of BRIDGES Engage, a digital platform operated by NeuroAI Inc. (“NeuroAI,” “we,” “us,” or “our”). By accessing or using BRIDGES Engage, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree to these terms, you must immediately discontinue the use of our platform.
1. Overview of BRIDGES Engage
BRIDGES Engage (the “Platform”) is a proprietary digital platform developed and operated by NeuroAI Inc. (“NeuroAI,” “we,” “us,” or “our”). The Platform is designed to support caregivers of children with neurodevelopmental concerns by providing structured tools for data collection, organization, secure sharing, and educational resources. BRIDGES Engage is not a medical device, diagnostic tool, or substitute for professional healthcare services.
The Platform enables caregivers to securely document and track relevant developmental information, share data with healthcare professionals, access educational materials, and receive AI-generated insights where applicable. BRIDGES Engage consists of the following key components:
1.1 Key Components
- BRIDGES Connect – A structured resource hub providing caregivers with evidence-based educational materials, expert-led courses, and access to peer-support forums. Content is developed by professionals and is intended for informational purposes only, not as a replacement for professional medical advice.
- BRIDGES Passport – A secure, structured tool that allows caregivers to document and share pre-assessment data with designated healthcare providers. This feature enables the efficient transfer of information while ensuring compliance with applicable privacy laws. No AI-generated insights are provided through this component, ensuring that clinical decision-making remains independent. Users retain full control over shared data and can revoke access at any time.
- BRIDGES Journal – A secure behavioral and developmental tracking tool that allows caregivers to log observations, document progress, and upload media such as videos and images. This feature does not analyze or diagnose conditions but serves as a structured repository for caregiver-reported data.
- BRIDGES Allie – An AI-powered assistant designed to provide caregivers with personalized prompts, reminders, and educational insights based on their engagement with the Platform. AI-generated recommendations are strictly informational in nature and should not be interpreted as medical advice, clinical guidance, or intervention recommendations.
- BRIDGES My Child – A structured summary tool that consolidates key information regarding a child’s developmental history, behavior logs, and relevant therapy or medical records. This component is intended to help caregivers maintain a comprehensive and accessible profile that can be shared with authorized professionals at their discretion.
1.2 Intended Use and Limitations
BRIDGES Engage is not a diagnostic tool and does not provide medical, psychological, or therapeutic assessments. It is intended to:
- Support caregiver organization and documentation by providing structured data logging and secure sharing tools.
- Enhance caregiver knowledge through vetted educational materials and expert-led resources.
- Improve pre-assessment efficiency by allowing structured information sharing with healthcare providers.
- Provide AI-driven informational support, where applicable, without influencing clinical decision-making.
The users of our platform acknowledge that all medical, developmental, or therapeutic decisions should be made in consultation with a licensed professional. NeuroAI does not assume liability for any actions taken based on information recorded, shared, or received through BRIDGES Engage.
2. Know Your Eligibility, Responsibilities, Obligations and Rights
2.1 Eligibility Requirements
By accessing and using BRIDGES Engage (the “Platform”), you affirm, represent, and warrant that you meet all of the following conditions:
- Legal Age & Authority – You are at least 18 years old and have legal authority to act as a caregiver (parent or legal guardian) for the child whose information you input, manage, or share on our Platform.
- Use of NeuroAI for Personal & Lawful Purposes – You will use the Platform only for its intended purpose of documenting, organizing, and securely sharing developmental information regarding a child under your care. You will use the platform for documenting or sharing information about yourself. You will not use the Platform for any commercial, unlawful, fraudulent, or unauthorized purpose.
- Accuracy of Information – You agree to provide truthful, accurate, current, and complete information about yourself and your child when registering for an account and using the Platform’s features. You will promptly update any changes to your personal or child-related data as necessary.
- Compliance with Applicable Laws – You acknowledge that your use of the Platform is subject to applicable privacy, healthcare, and data protection laws, including but not limited to:
- Personal Information Protection and Electronic Documents Act (PIPEDA) [Canada]
- Health Insurance Portability and Accountability Act (HIPAA) [United States]
- Personal Health Information Protection Act (PHIPA) [Ontario, Canada]
- General Data Protection Regulation (GDPR) [European Union] (if applicable)
- Use of Child-Related Data – You confirm that you have the legal right to enter, store, and share information about the child under your care. You also consent to NeuroAI’s use of the child-related data that you share on our platform. If another caregiver (e.g., co-parent, guardian) has similar rights, you acknowledge that NeuroAI is not responsible for any disputes regarding data access, accuracy, or consent among caregivers.
- Geographic Restrictions – The Platform is intended for use only in jurisdictions where it complies with applicable laws. If you access the Platform from a location where its use would be illegal or restricted, you do so at your own risk, and NeuroAI shall bear no liability for any consequences arising from such use.
2.2 Account Security & Responsibilities
By creating an account and using the Platform, you agree to:
- Maintain Account Confidentiality – You will keep your account credentials (e.g., username, password) confidential and secure. You will not share your login information with unauthorized individuals.
- Accept Full Responsibility for Account Activity – Any actions taken under your account, whether by you or an authorized user (on your behalf), are your sole responsibility. NeuroAI will not be liable for any unauthorized access to your account.
- Notify NeuroAI of Security Breaches – If you suspect unauthorized access, data breaches, or fraudulent activity involving your account, you must immediately notify NeuroAI at support@neuroai.ca.
- Refrain from Unauthorized or Harmful Activities – You will not engage in any activity that:
- Attempts to gain unauthorized access to the Platform, servers, or associated networks.
- Interferes with, disrupts, or damages the Platform, including through hacking, malware, or unauthorized data mining.
- Impersonates another person or falsely represents your affiliation with an entity or another caregiver.
- Uploads, transmits, or distributes offensive, misleading, defamatory, infringing, or harmful
- Intentionally provide inaccurate or misleading information about your child.
- Uses the Platform to collect or store sensitive third-party information without proper authorization.
2.3 Third-Party Access & Caregiver Disputes
- Third-Party Data Access – If you share access to the child’s data with healthcare providers or other authorized users, NeuroAI is not responsible for how they handle, interpret, or use that data.
- Caregiver Disputes – If multiple caregivers claim rights to access or modify a child’s data:
- NeuroAI will not mediate disputes between caregivers.
- NeuroAI reserves the right to restrict access or take other reasonable measures until the dispute is resolved outside the Platform.
- NeuroAI is not liable for any loss of access resulting from disputes among caregivers or legal guardians.
2.4 Data Collection, Processing, Privacy and Retention
By accessing and using BRIDGES Engage (the “Platform”), you acknowledge and consent to the collection, storage, and processing of personal and child-related data as described in this section and our Privacy Policy. The types of data collected include, but are not limited to:
(a) Caregiver Data
- Full name, email address, phone number, and account credentials.
- Communication history with NeuroAI support services.
- Interaction logs detailing engagement with Platform features.
(b) Child Data (Collected Only with Legal Guardian Consent)
- Name or initials (if provided by caregiver).
- Date of birth or age group (if provided by caregiver).
- Developmental history and behavioral observations recorded by the caregiver.
- Pre-assessment data shared through BRIDGES Passport.
- Uploaded media (e.g., videos, images) for developmental tracking via BRIDGES Journal.
(c) Usage Data
- Log files capturing interactions with BRIDGES Engage features.
- Engagement analytics for optimizing user experience.
- Metadata associated with file uploads and interactions (e.g., timestamps).
2.5 Revoking Access & Data Control Rights
Caregivers retain the right to revoke access to shared data at any time through the Platform’s settings.
- Immediate Revocation – Once revoked, the provider will lose access to shared data.
- Provider’s Retention of Data – NeuroAI cannot guarantee that providers will delete previously received copies of shared data. Caregivers must request deletion directly from the provider if needed.
- NeuroAI’s Limited Role – NeuroAI does not have the authority to remove shared data from a provider’s system once transmitted by the caregiver through BRIDGES Passport. It is the caregiver’s responsibility to ensure that any necessary deletions occur outside of BRIDGES Engage.
Users may also request deletion of their personal or child-related data by:
- Using the account settings to remove stored content.
- Contacting support@neuroai.ca to request full data erasure.
NeuroAI will permanently delete data within [X] days of receiving a valid request, except where legal or regulatory requirements mandate retention.
2.6 Consent to BRIDGES Passport
BRIDGES Passport is a secure tool within BRIDGES Engage that allows caregivers to collect, manage, and share pre-assessment data with designated healthcare providers. The sharing of data through BRIDGES Passport is entirely voluntary and occurs only with the explicit consent of the caregiver.
By using BRIDGES Passport, you acknowledge and agree to the following:
- User-Controlled Sharing – Caregivers have full control over the selection, transmission, and revocation of shared data with healthcare professionals.
- Read-Only Access for Providers – Shared data is made available to authorized healthcare providers only in a read-only format; providers cannot edit or modify any caregiver-submitted information.
- No Automatic Data Transmission – NeuroAI does not automatically share data with any third parties, including clinicians, without the caregiver’s explicit action to do so.
- Non-Medical Status of Shared Data – Data shared via BRIDGES Passport does not constitute an official medical record unless the receiving healthcare provider independently incorporates it into their system.
- Responsibility of the Caregiver – The caregiver is solely responsible for ensuring that the information shared is accurate, up to date, and appropriate for the intended recipient.
Users assume full responsibility for the consequences of sharing data via BRIDGES Passport. By using this feature, caregivers acknowledge that NeuroAI acts solely as a data-sharing facilitator and does not verify, audit, or influence how shared data is handled by third-party recipients.
By using BRIDGES Passport, you:
- Confirm that you have legal authority to share the selected child-related data.
- Understand that NeuroAI is not responsible for how the recipient healthcare provider handles the shared data.
- Accept full responsibility for verifying the recipient’s credentials before initiating data transmission.
- Acknowledge that you may revoke access at any time, but NeuroAI cannot retroactively delete shared data from an external provider’s records.
- Agree that any disputes over shared data between you and a healthcare provider must be resolved directly with the provider.
2.7 Consent to AI generated insights via BRIDGES Allie:
By using BRIDGES Allie, you acknowledge and agree to the following:
- Informational Nature of Insights – The recommendations and insights provided by BRIDGES Allie are generated using machine learning models and predefined algorithms, based on caregiver-submitted data. These insights are intended to support caregiving efforts but are not a substitute for professional medical evaluation, diagnosis, or treatment.
- No Automated Decision-Making with Legal Consequences – BRIDGES Allie does not make automated decisions that affect user rights, healthcare access, or eligibility for services. The AI system is purely advisory and does not function as a regulatory-approved diagnostic tool.
- Caregiver Responsibility – The caregiver is solely responsible for interpreting and applying any AI-generated insights and should consult a qualified healthcare professional before making decisions related to the child’s care.
- No AI Influence on Clinical Decision-Making – Insights provided by BRIDGES Allie are not intended to directly inform clinical diagnoses or treatment plans and should not replace healthcare provider judgment.
By using BRIDGES Allie, you:
- Confirm that you understand and accept the limitations of AI-generated insights.
- Agree that you are solely responsible for any actions taken based on AI recommendations.
- Understand that BRIDGES Allie is not a replacement for professional medical consultation.
- Acknowledge that NeuroAI is not liable for misinterpretation, application, or third-party use of AI-generated insights.
- Retain the right to opt out of AI-generated insights at any time through account settings.
2.8 User Rights and Controls
Using BRIDGES Allie is optional, and caregivers have full control over:
- Enabling or Disabling AI-Generated Insights – Users can opt in or out of AI-generated insights at any time via account settings.
- Managing Data Inputs – Users control what data is submitted to BRIDGES Allie, and insights are generated only from available user-provided inputs.
- Reviewing and Dismissing AI Insights – Users may accept, disregard, or dismiss any insights provided by BRIDGES Allie without consequence.
- Requesting AI Data Review – Users may request a record of AI-generated insights associated with their account through support@neuroai.ca.
Under applicable data protection laws, users have the following rights:
- Right to Access – Users may request a copy of their stored data at any time.
- Right to Rectification – Users may correct or update inaccurate data.
- Right to Erasure (“Right to Be Forgotten”) – Users may request deletion of personal and child-related data.
- Right to Restrict Processing – Users may request limitations on data processing under certain conditions.
- Right to Data Portability – Users may request their data in a machine-readable format for transfer to another service.
- Right to Object – Users may object to certain types of data processing, including direct marketing (which NeuroAI does not conduct).
To exercise these rights, users may contact support@neuroai.ca. NeuroAI will respond to requests within [X] days, subject to verification and legal obligation
2.9 User Agreement
By accessing and using any of NeuroAI’s platform features, you:
- Acknowledge NeuroAI’s ownership of all Intellectual Property associated with the Platform.
- Agree not to copy, modify, distribute, or reverse-engineer any part of BRIDGES Engage.
- Confirm that you have legal rights to any content you upload and grant NeuroAI a license to use such content only as described herein.
- Understand that unauthorized use of NeuroAI’s trademarks, branding, or AI-generated insights may result in legal action.
- Acknowledge that NeuroAI reserves the right to modify, update, or discontinue any part of its Intellectual Property protections, subject to legal compliance.
Users are encouraged to consult a legal professional if they require further clarification.
3. NeuroAI’s Responsibilities, Obligations and Rights
3.1 Suspension & Termination of Access
NeuroAI reserves the right, in its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Platform if:
- You violate any provision of these Terms and Conditions.
- You use the Platform in a manner that could cause harm, risk, or liability to NeuroAI, other users, or third parties.
- Your account is suspected of being involved in fraudulent, unauthorized, or illegal activities.
- You engage in behavior that is abusive, harassing, or disruptive to NeuroAI staff or other Platform users.
If an account meets the criteria above to be suspended or terminated, the user will lose access to all stored data and Platform functionalities. NeuroAI is not liable for any resulting data loss. If you believe your account was wrongfully suspended or terminated, you may request a review by contacting support@neuroai.ca.
3.2 Data Collection and Processing
NeuroAI collects and processes data only for the purposes stated herein and in accordance with applicable data protection laws, including but not limited to:
- Personal Information Protection and Electronic Documents Act (PIPEDA) [Canada]
- Health Insurance Portability and Accountability Act (HIPAA) [United States]
- Personal Health Information Protection Act (PHIPA) [Ontario, Canada]
- General Data Protection Regulation (GDPR) [European Union] (if applicable)
NeuroAI collects and processes data solely for the following legitimate purposes:
- Providing Core Platform Functionality – Enabling users to log developmental milestones, share pre-assessment data with clinicians, and access educational resources.
- Enhancing User Experience – Analyzing anonymized engagement trends to improve Platform usability and content relevance.
- Secure Data Sharing with Healthcare Providers – Facilitating caregiver-directed transmission of structured child-related data through BRIDGES Passport.
- Generating AI-Powered Educational Insights – If caregivers opt-in, BRIDGES Allie provides personalized recommendations based on behavioral logs.
- Legal Compliance and Security – Ensuring compliance with applicable data protection laws and preventing unauthorized access or misuse of the Platform.
NeuroAI does not use collected data for advertising, commercial resale, or automated decision-making that affects user rights.
3.3 Lawful Basis for Processing
NeuroAI processes personal and child-related data on the following legal grounds:
- Consent – Users provide explicit consent for data collection and processing when registering for the Platform and using its features. Users may withdraw consent at any time, subject to legal limitations.
- Contractual Necessity – Processing is required to provide access to the Platform’s core functionalities, including data tracking and secure sharing.
- Legitimate Interests – Processing is necessary for ensuring Platform security, maintaining service quality, and improving usability (e.g., anonymized analytics).
- Legal Compliance – In limited cases, NeuroAI may process data to comply with legal obligations, including responding to lawful governmental requests.
3.4 Data Retention and Deletion
NeuroAI retains data only for as long as necessary to fulfill the purposes outlined in this Agreement and as required by applicable laws.
(a) Retention Periods
- User Account Data – Retained while the account remains active and for up to [X] years after closure for compliance and record-keeping.
- Child-Related Data – Retained until a caregiver deletes the data or revokes sharing permissions.
- Usage Logs – Retained for a period of [X] months to support fraud prevention, service optimization, and legal compliance.
3.5 Data Security and Access Control
NeuroAI implements industry-standard security measures to protect personal/caregiver and child-related data when it is stored in the NeuroAI platform against unauthorized access, alteration, or disclosure, including:
- Data Encryption – All stored and transmitted data is encrypted using AES-256 encryption standards. All data input into BRIDGES Allie is encrypted both in transit and at rest using AES-256 encryption.
- Access Controls – Strict role-based access permissions ensure that only authorized personnel can access sensitive data.
- Secure Authentication – Multi-factor authentication (MFA) is required for administrative access to sensitive systems.
- Audit Logs & Monitoring – Continuous system monitoring detects and logs unauthorized access attempts.
- No AI Model Training on Personal Data – AI models used in BRIDGES Allie do not store, reuse, or train on individual caregiver-submitted data.
- Compliance with Privacy Regulations – AI data processing is designed to comply with PIPEDA (Canada), HIPAA (United States), PHIPA (Ontario), and GDPR (EU)
- Limited Data Retention – AI-generated insights are not permanently stored or tied to individual profiles beyond the current session unless the caregiver chooses to save them.
Despite these safeguards, no online system is entirely secure. Users acknowledge and accept that NeuroAI is not liable for unauthorized third-party access resulting from security breaches beyond its control. NeuroAI does not assume liability for any data breaches occurring after data has been successfully transmitted to an external healthcare provider using BRIDGES Passport. NeuroAI does not use AI-generated insights for advertising, data resale, or third-party profiling.
3.6 Data Sharing & Third-Party Disclosures
NeuroAI does not sell or commercialize user data. Data is only shared in the following circumstances:
(a) With Healthcare Providers (User-Directed Sharing via BRIDGES Passport)
- Users may choose to share selected child-related data with designated clinicians.
- NeuroAI does not control how third-party healthcare providers handle shared data.
- Users may revoke access at any time via Platform settings.
(b) With Service Providers (Strictly for Operational Purposes)
- NeuroAI engages third-party vendors for secure cloud hosting, database management, and customer support.
- Vendors operate under confidentiality agreements and are prohibited from using user data for unauthorized purposes.
(c) Legal Compliance & Government Requests
- NeuroAI may disclose user data if required by law, such as in response to a valid court order, subpoena, or regulatory request.
- Users will be notified where legally permissible before any disclosure is made.
3.7 Limitations of Liability
NeuroAI is not responsible or liable for:
- Misuse or misinterpretation of shared data by healthcare providers.
- Any decisions made by caregivers or providers based on caregiver shared data.
- Data retention policies of healthcare providers receiving BRIDGES Passport information.
Likewise, to the fullest extent permitted by law, NeuroAI shall not be held liable for:
- Errors or Inaccuracies in AI-Generated Insights – AI models are probabilistic and may provide incorrect or incomplete recommendations. Users assume full responsibility for verifying any AI-driven suggestions.
- Consequences of AI Usage – NeuroAI is not responsible for any direct or indirect consequences resulting from a user’s reliance on BRIDGES Allie’s insights, including but not limited to:
- Caregiving decisions made based on AI recommendations.
- Psychological or emotional distress caused by misinterpretation of insights.
- Delays in seeking professional medical advice due to reliance on AI-generated content.
- Third-Party Use of AI-Generated Content – If a caregiver shares AI-generated insights with a third party (e.g., a healthcare provider or educator), NeuroAI is not responsible for how that third party interprets or applies the information.
Users acknowledge that BRIDGES Allie is not a regulated healthcare tool and that any concerns regarding a child’s development should be directed to a qualified medical professional.
4. Bridges Passport Overview
4.1 Legal Basis and Consent for Data Sharing
Data sharing through BRIDGES Passport is facilitated under the legal principle of informed consent, in compliance with applicable data protection laws, including but not limited to:
- PIPEDA (Canada) – Governing personal health data sharing by private organizations.
- HIPAA (U.S.) – Regulating the handling of electronic health information.
- PHIPA (Ontario, Canada) – Governing health data shared with providers in Ontario.
- GDPR (EU) – Regulating the collection and processing of personal data within the European Union (if applicable).
(a) Explicit Caregiver Consent Required
- Users must actively initiate data sharing via BRIDGES Passport through an affirmative action, such as selecting specific files or reports to be shared.
- Users may withdraw consent for data sharing at any time by revoking access in the Platform’s settings.
(b) Scope of Shared Data
By consenting to share data through BRIDGES Passport, caregivers authorize the transmission of:
- Developmental history logs, as recorded in BRIDGES Journal.
- Pre-assessment responses submitted by the caregiver.
- Behavioral tracking logs relevant to clinical evaluation.
- Uploaded media files (e.g., videos, images), if applicable.
Caregivers are responsible for ensuring that the shared data is appropriate for the intended recipient and that no unnecessary or irrelevant information is transmitted.
4.2 Healthcare Provider Responsibilities and Limitations
Healthcare providers receiving data via BRIDGES Passport acknowledge and agree to the following limitations:
- No Alteration of Data – The provider may not edit, modify, or alter caregiver-submitted data.
- Independent Medical Judgment – The provider is solely responsible for assessing, interpreting, and using the data at their discretion, in accordance with applicable clinical standards.
- No Guarantee of Clinical Use – Data shared through BRIDGES Passport is not automatically integrated into the provider’s medical records or treatment plans. The provider is not obligated to use or review shared data.
NeuroAI assumes no responsibility for how a healthcare provider uses, stores, or interprets the data once it has been shared by the caregiver.
5. Overview of AI-Generated Insights via BRIDGES Allie
BRIDGES Allie is an AI-powered assistant within BRIDGES Engage designed to provide caregivers with personalized, non-clinical insights based on user engagement and logged data. The AI-generated insights offered by BRIDGES Allie are for informational purposes only and should not be considered medical, diagnostic, or therapeutic advice.
5.1 Types of AI-Generated Insights Provided
The AI-generated insights provided by BRIDGES Allie may include:
- Developmental Pattern Recognition – Identifying behavioral or developmental trends based on caregiver-reported logs.
- Generalized Care Recommendations – Providing evidence-based parenting strategies for managing daily routines, sensory needs, and behavior regulation.
- Data Summaries – Generating structured summaries of logged caregiver data for easier review and documentation.
- Educational Content Recommendations – Suggesting relevant articles, courses, or peer support materials available through BRIDGES Connect.
BRIDGES Allie does not provide:
- Medical diagnoses
- Treatment plans
- Emergency intervention recommendations
- Prognostic assessments
If a caregiver has concerns about a child’s health or development, they should seek professional medical advice immediately.
5.2 Limitations and Accuracy of AI Insights
While BRIDGES Allie is designed to provide useful and personalized insights, users must acknowledge the inherent limitations of AI-driven content:
- Reliance on User-Submitted Data – The accuracy of BRIDGES Allie’s insights depends entirely on the quality, completeness, and accuracy of data input by the caregiver. NeuroAI is not responsible for inaccurate insights resulting from incomplete or misleading data submissions.
- Non-Diagnostic Nature of AI Models – BRIDGES Allie is not a medically regulated diagnostic tool and has not been approved by regulatory bodies such as the FDA, Health Canada, or the EMA. AI-generated insights should never be used to diagnose, prevent, or treat any medical condition.
- Absence of Continuous Learning from Individual Users – BRIDGES Allie does not develop individualized profiles or store personalized AI-generated histories. Each insight session is independent and does not create a cumulative learning model for a specific user.
- Risk of Misinterpretation – AI-generated suggestions are generalized and non-specific. Misinterpretation of insights by users can lead to inappropriate caregiving strategies or unnecessary anxiety. Users are encouraged to consult a professional if they are unsure how to interpret the AI’s output.
6. Payment, Fees, and Subscriptions
6.1 Overview of Subscription Plans and Fees
BRIDGES Engage operates on a subscription-based model, with various tiers of access that may include free and paid features. By subscribing to BRIDGES Engage, you (the “User”) agree to the payment terms, billing cycles, and renewal policies as outlined in this section.
- Subscription Tiers – Different subscription levels may offer varying levels of access to platform features, including BRIDGES Connect, BRIDGES Passport, BRIDGES Journal, and BRIDGES Allie.
- One-Time Payments – Certain features or services within BRIDGES Engage may require a one-time payment instead of or in addition to a recurring subscription.
- Pricing and Currency – All prices are listed in [Insert Currency] and are subject to change at NeuroAI’s sole discretion, with notice provided to subscribers in advance of any increase in fees.
- Taxes and Additional Fees – Stated prices do not include applicable taxes, transaction fees, or foreign exchange charges, which may be added at checkout based on the User’s location.
Users are responsible for reviewing the most up-to-date pricing and plan details before subscribing, which are made available on the BRIDGES Engage website or within the app interface.
6.2 Billing and Payment Terms
By subscribing to BRIDGES Engage or purchasing any paid services, you acknowledge and agree to the following billing and payment terms:
(a) Payment Methods
- Payments may be made via credit card, debit card, digital wallets, or other accepted payment methods as specified during checkout.
- Users must provide valid and accurate payment information and authorize NeuroAI (or its payment processor) to charge the payment method on file.
- If a payment is declined or fails for any reason, NeuroAI reserves the right to suspend or terminate access to paid features until payment is successfully processed.
(b) Automatic Renewal and Recurring Payments
- Subscriptions are automatically renewed at the end of each billing cycle unless canceled by the User before the renewal date.
- By enrolling in a subscription, the User authorizes NeuroAI to automatically charge the stored payment method for recurring subscription fees on a monthly or annual basis (as applicable).
- Subscription renewals will be processed at the then-current price, and any price increases will be communicated to the User at least 30 days in advance.
(c) Payment Processing and Third-Party Fees
- Payments are processed through third-party payment service providers (e.g., Stripe, PayPal, or others).
- NeuroAI is not responsible for additional fees charged by third-party processors, banks, or credit card issuers, including but not limited to foreign transaction fees, overdraft fees, or currency conversion charges.
6.3 Free Trials, Discounts, and Promotional Offers
NeuroAI may, at its sole discretion, offer free trials, discounts, or promotional pricing for BRIDGES Engage subscriptions. By participating in such offers, the User agrees to the following conditions:
- Trial Periods – If a free trial is offered, Users must provide a valid payment method at the time of sign-up. Unless canceled before the trial ends, the subscription will automatically convert to a paid plan, and the User’s payment method will be charged.
- Limited-Time Discounts – Promotional discounts apply only for the specified duration and revert to regular pricing at the end of the promotional period.
- Non-Transferability – Free trials and promotional offers are non-transferable, cannot be exchanged for cash, and are subject to modification or cancellation at NeuroAI’s discretion.
Users are responsible for reviewing trial expiration dates and applicable terms before enrolling in any promotional offer.
6.4 Subscription Cancellation and Refund Policy
Users may cancel their subscription or request refunds under the following conditions:
(a) Subscription Cancellation
- Users may cancel their subscription at any time through their account settings or by contacting support@neuroai.ca.
- Cancellations will take effect at the end of the current billing period, and no further charges will be applied.
- Partial-month or partial-year refunds will not be issued, and access to paid features will continue until the end of the billing cycle.
(b) Refunds and Eligibility
NeuroAI offers refunds only under specific circumstances, including:
- Billing Errors – If a User is charged incorrectly due to an error by NeuroAI, they may request a full refund within 30 days of the transaction date.
- Service Failures – If the BRIDGES Engage platform is unavailable due to a prolonged outage (exceeding 72 consecutive hours) caused by NeuroAI’s system failure, a pro-rated refund may be issued at NeuroAI’s discretion.
- Regulatory Compliance – Where required by applicable consumer protection laws, refunds will be issued in compliance with local regulations.
Refunds are not provided in cases where:
- The User fails to cancel before an automatic renewal date.
- The User voluntarily discontinues use of the Platform but does not request cancellation.
- The User is dissatisfied with AI-generated insights, data-sharing options, or any non-medical aspect of the Platform.
All refund requests must be submitted in writing to support@neuroai.ca, and processing times may vary based on payment provider policies.
6.5 Termination of Subscription and Account Access
NeuroAI reserves the right to terminate or suspend a User’s subscription under the following conditions:
- Non-Payment – If a payment fails and remains unresolved for more than 7 days, NeuroAI may suspend access to paid features until the outstanding balance is paid.
- Violation of Terms – If a User is found to be in violation of these Terms and Conditions, their account may be terminated without refund.
- Fraudulent or Unauthorized Transactions – If NeuroAI detects unauthorized payment activity, chargeback fraud, or subscription abuse, access to the Platform may be revoked immediately.
NeuroAI is not liable for any loss of access resulting from subscription termination due to non-payment or Terms of Service violations.
6.6 Modifications to Subscription Terms and Fees
NeuroAI reserves the right to change pricing, billing terms, or subscription features at its sole discretion, provided that:
- Users are given at least 30 days’ notice before any price increase affecting active subscriptions.
- Changes to billing cycles, automatic renewal policies, or cancellation processes will be clearly communicated via email or in-platform notifications.
Continued use of BRIDGES Engage after a notified change constitutes acceptance of the new terms. Users who do not agree with modified pricing or terms should cancel their subscription before the effective date of the changes.
6.7 User Acknowledgment and Agreement
By purchasing a subscription or making a payment for BRIDGES Engage, you:
- Agree to the automatic renewal terms, unless you cancel before the next billing cycle.
- Understand that all payments are final, except where explicitly stated in the refund policy.
- Accept responsibility for managing your own billing preferences and account settings.
- Acknowledge that NeuroAI is not responsible for third-party payment processing delays, overdraft fees, or foreign transaction charges.
- Confirm that you have read and understood the modifications policy, including the right of NeuroAI to change subscription terms with prior notice.
7. Intellectual Property Rights
7.1 Ownership of Intellectual Property
All content, features, functionalities, and materials available on or through BRIDGES Engage (the “Platform”), including but not limited to software, user interfaces, text, graphics, logos, images, videos, AI-generated insights, and educational resources (collectively, the “Intellectual Property”), are the exclusive property of NeuroAI Inc. (“NeuroAI,” “we,” “us,” or “our”) or its licensors, and are protected by applicable intellectual property laws, including copyright, trademark, trade secret, and patent laws.
By using BRIDGES Engage, Users acknowledge and agree that:
- NeuroAI retains full ownership of all Intellectual Property associated with the Platform, including all proprietary software, databases, algorithms, and AI models used to generate insights.
- Users do not acquire any rights to BRIDGES Engage Intellectual Property, except as expressly permitted under these Terms and Conditions.
- Any feedback, suggestions, or recommendations provided by Users regarding improvements or modifications to BRIDGES Engage shall be deemed non-confidential and may be used freely by NeuroAI without compensation or restriction.
7.2 License to Use BRIDGES Engage
Subject to compliance with these Terms and Conditions, NeuroAI grants each User a limited, non-exclusive, non-transferable, revocable, and non-sublicensable license to:
- Access and use BRIDGES Engage solely for personal, non-commercial caregiving purposes.
- Utilize AI-generated insights, educational content, and resource materials only within the scope of the Platform’s intended use.
- View, download, and print educational materials provided through BRIDGES Connect, provided that such materials are used only for personal caregiving and not for redistribution, reproduction, or commercial exploitation.
Users may not:
- Copy, modify, distribute, sell, lease, sublicense, or commercially exploit any part of the Platform, including its content, software, AI models, or databases.
- Reverse-engineer, decompile, disassemble, or attempt to extract source code from any part of BRIDGES Engage or its AI algorithms.
- Use any automated tools, bots, or scraping techniques to access, analyze, or extract information from the Platform.
- Create derivative works or adaptations based on BRIDGES Engage’s proprietary content, branding, or AI-generated insights.
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices embedded in or accompanying the Platform.
Any unauthorized use of BRIDGES Engage Intellectual Property constitutes a material breach of these Terms and may result in immediate termination of access and legal action.
7.3 User-Generated Content and Licensing
(a) User Ownership of Uploaded Data
Users retain full ownership of any content, data, logs, videos, or other materials (“User-Generated Content” or “UGC”) that they upload or submit to BRIDGES Engage, including but not limited to:
- Developmental tracking logs recorded in BRIDGES Journal.
- Videos or images uploaded for documentation purposes.
- Written observations or caregiver notes.
(b) License Grant to NeuroAI
By uploading or submitting User-Generated Content to BRIDGES Engage, Users grant NeuroAI a worldwide, royalty-free, non-exclusive, and sublicensable license to:
- Store, process, display, and analyze UGC solely for the purpose of providing Platform functionality (e.g., enabling BRIDGES Allie to generate AI-based insights).
- Use aggregated, anonymized UGC for research, system improvement, and AI model refinement, provided that such data is not personally identifiable.
Users confirm that they have the legal right and necessary permissions to upload and share any User-Generated Content and that such content does not infringe on third-party rights (e.g., copyright, privacy, intellectual property, or data protection laws).
7.4 Trademarks and Branding
The BRIDGES Engage name, logo, and all related branding are registered and/or unregistered trademarks of NeuroAI. Users may not:
- Use the BRIDGES Engage or NeuroAI trademarks, logos, or branding without prior written permission.
- Imply endorsement, partnership, or affiliation with NeuroAI without authorization.
- Use any branding or trademarks in a manner that disparages, misrepresents, or damages the reputation of BRIDGES Engage.
Any unauthorized use of NeuroAI’s trademarks may result in legal enforcement actions, including but not limited to trademark infringement claims.
7.5 AI-Generated Content and Restrictions
(a) No Claims of Ownership Over AI Insights
Users acknowledge that all AI-generated insights produced by BRIDGES Allie remain the intellectual property of NeuroAI, and Users:
- May use AI-generated insights for personal caregiving purposes only.
- May not claim ownership over, publish, or redistribute AI-generated insights as original work.
(b) Limitations on AI Model Access
Users are not permitted to:
- Attempt to replicate, modify, or train external AI models based on BRIDGES Allie’s insights.
- Extract or reconstruct AI methodologies used within BRIDGES Engage.
- Use BRIDGES Allie’s AI-generated insights for commercial, research, or clinical application without explicit permission.
7.6 Enforcement of Intellectual Property Rights
NeuroAI reserves the right to enforce its Intellectual Property rights to the fullest extent permitted by law, including:
- Suspension or termination of access to BRIDGES Engage for violations of this section.
- Issuance of cease-and-desist orders to prevent unauthorized reproduction or misuse of NeuroAI’s proprietary content.
- Legal action, including seeking damages and injunctive relief, for intellectual property infringement.
If a User believes that BRIDGES Engage infringes upon their intellectual property rights, they must notify NeuroAI’s Legal Department at legal@neuroai.ca with:
- A detailed description of the alleged infringement.
- Proof of ownership of the intellectual property in question.
- A statement affirming the accuracy of the claim under penalty of perjury.
NeuroAI will investigate and respond to all good faith intellectual property claims in compliance with applicable laws.
7.7 User Acknowledgment and Agreement
8. Limitation of Liability
8.1 General Disclaimer of Warranties
By accessing and using BRIDGES Engage (the “Platform”), you acknowledge and agree that your use of the Platform and its associated features, including but not limited to BRIDGES Connect, BRIDGES Passport, BRIDGES Journal, BRIDGES Allie, and BRIDGES My Child, is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.
To the fullest extent permitted by law, NeuroAI Inc. (“NeuroAI,” “we,” “us,” or “our”) disclaims all warranties, representations, and conditions, including but not limited to:
- Fitness for a Particular Purpose – The Platform does not guarantee that the tools, insights, or features provided will meet the specific needs of any User or child.
- Merchantability – NeuroAI makes no guarantees regarding the availability, functionality, accuracy, or reliability of the Platform.
- Non-Infringement – NeuroAI does not warrant that use of the Platform will not infringe on third-party rights.
- Error-Free or Uninterrupted Service – NeuroAI does not guarantee that the Platform will be free from defects, viruses, service interruptions, or errors and will not be responsible for any resulting data loss or disruption.
Users acknowledge that they assume full responsibility for the risks associated with using the Platform, including reliance on AI-generated insights, caregiver-submitted data, and shared pre-assessment information.
8.2 Limitation of Liability
To the maximum extent permitted by applicable law, NeuroAI, its affiliates, directors, officers, employees, contractors, agents, licensors, service providers, and successors shall not be liable for:
(a) Direct or Indirect Damages
- Any loss of data, revenue, business, profits, goodwill, or savings resulting from the use of, or inability to use, BRIDGES Engage.
- Any costs of procuring substitute services due to Platform unavailability.
- Any service interruptions, delays, or errors related to system maintenance, third-party dependencies, cyberattacks, or force majeure events.
(b) Consequential, Incidental, or Special Damages
NeuroAI shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from:
- User reliance on AI-generated insights from BRIDGES Allie.
- Misinterpretation, inaccuracy, or incompleteness of data logged within BRIDGES Journal or shared via BRIDGES Passport.
- Decisions made by caregivers or healthcare providers based on Platform-generated reports or AI recommendations.
(c) Unauthorized Access and Security Breaches
While NeuroAI implements industry-standard security measures, we do not guarantee that unauthorized third parties will never be able to circumvent our security protections. Users agree that NeuroAI is not responsible for:
- Unauthorized access to or modification of User data resulting from hacking, malware, phishing attacks, or credential theft.
- Breach of data confidentiality by third-party healthcare providers who receive User-shared information via BRIDGES Passport.
8.3 AI-Generated Insights and Disclaimers
Users acknowledge that AI-generated insights provided by BRIDGES Allie are:
- Purely informational and non-diagnostic.
- Not a substitute for professional medical consultation.
- Subject to limitations based on caregiver-submitted data quality and completeness.
NeuroAI is not liable for:
- Any harm, injury, or adverse outcome arising from reliance on BRIDGES Allie’s insights.
- Any decisions made by Users or healthcare providers based on AI-generated recommendations.
Users assume full responsibility for verifying AI-generated information with qualified professionals before making caregiving or medical decisions.
8.4 Data Sharing Risks and User Responsibility
(a) User Responsibility for Shared Data
- Users voluntarily share pre-assessment data through BRIDGES Passport and accept full responsibility for verifying the credentials of recipient healthcare providers.
- NeuroAI is not liable for how third-party clinicians or institutions use, store, or interpret shared data.
(b) No Liability for Third-Party Misuse
NeuroAI does not control and is not responsible for:
- Misuse, misinterpretation, or unauthorized use of shared caregiver data by healthcare providers.
- Data retention policies of third parties, including whether healthcare providers delete shared records upon request.
Users are advised to review provider policies before sharing data and to exercise caution when transmitting sensitive information.
8.5 Force Majeure
NeuroAI shall not be held responsible for any failure or delay in performance due to events beyond its reasonable control, including but not limited to:
- Acts of God, natural disasters, pandemics, or extreme weather events.
- Cyberattacks, power failures, or internet disruptions affecting Platform access.
- Government regulations, compliance changes, or legal restrictions impacting Platform operations.
If a force majeure event materially impacts BRIDGES Engage services, NeuroAI reserves the right to suspend, modify, or discontinue access without liability.
8.6 Indemnification by Users
By using BRIDGES Engage, Users agree to defend, indemnify, and hold harmless NeuroAI and its affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:
- User-submitted content (e.g., inaccurate caregiver logs, inappropriate media uploads).
- Misuse or unauthorized access to BRIDGES Engage in violation of these Terms.
- Third-party disputes arising from User interactions with healthcare providers through BRIDGES Passport.
Users waive any claims against NeuroAI for any liability arising from User actions or shared data.
8.7 Maximum Liability Cap
To the fullest extent permitted by law, the total aggregate liability of NeuroAI for any claims arising under these Terms shall not exceed the total amount paid by the User for BRIDGES Engage services in the past 12 months, or $100 USD, whichever is greater.
If a jurisdiction does not allow the exclusion or limitation of certain liabilities, the above limitations shall apply only to the maximum extent permitted by applicable law.
9. Modifications to These Terms
9.1 Right to Modify Terms
NeuroAI Inc. (“NeuroAI,” “we,” “us,” or “our”) reserves the right, at our sole discretion, to update, modify, amend, or revise these Terms and Conditions (“Terms”) at any time to reflect changes in:
- Applicable laws, regulations, or industry standards impacting the BRIDGES Engage platform (the “Platform”);
- New features, functionalities, or services introduced to BRIDGES Engage;
- Operational requirements, security policies, or technology updates;
- Subscription plans, pricing structures, or payment processing policies; or
- Any other business, technical, or legal considerations deemed necessary by NeuroAI.
All modifications will be effective upon posting unless otherwise specified in the notice provided to Users.
9.2 User Notification and Acceptance of Changes
(a) Notification of Changes
NeuroAI will provide reasonable notice of any material modifications to these Terms by:
- Posting an updated version of the Terms on the BRIDGES Engage website and within the Platform;
- Sending a notification via email to registered Users (where required by applicable law); and/or
- Providing an in-platform alert or pop-up requiring acknowledgment before continued access to BRIDGES Engage.
For minor or non-material changes (e.g., clarifications, formatting updates, technical adjustments), NeuroAI may update these Terms without prior notice. Users are responsible for periodically reviewing the most current version of the Terms.
(b) Continued Use as Acceptance
By continuing to access or use BRIDGES Engage after the effective date of any modifications, Users agree to be bound by the revised Terms.
If a User does not agree with the modified Terms, their sole remedy is to:
- Discontinue use of BRIDGES Engage, and
- Cancel any active subscriptions before the renewal date to avoid further charges.
NeuroAI is not liable for any damages, loss of access, or account termination resulting from a User’s refusal to accept the modified Terms.
9.3 Changes to Subscription Pricing and Fees
NeuroAI reserves the right to modify, increase, or restructure subscription fees, payment terms, or billing cycles at any time.
- Any changes to pricing for existing subscriptions will be communicated at least 30 days in advance via email and/or in-platform notifications.
- Users who do not cancel before the next billing cycle will be deemed to have accepted the new pricing.
- If required by law, NeuroAI may obtain explicit User consent before implementing material pricing changes.
NeuroAI does not issue refunds for pricing changes that take effect after a User’s renewal date.
9.4 Dispute Resolution for Changes
If a User disputes any modifications to these Terms, the User agrees to:
- Contact NeuroAI Support at support@neuroai.ca within 30 days of receiving notice to attempt a resolution.
- If unresolved, follow the Dispute Resolution Process outlined in Section 10 (Governing Law and Dispute Resolution) of these Terms.
Failure to raise a dispute within the designated period constitutes acceptance of the modified Terms.
9.5 No Retroactive Changes
Modifications to these Terms will not apply retroactively unless:
- Required by law or regulatory mandate, or
- Expressly agreed upon by both the User and NeuroAI in a separate written agreement.
Changes affecting existing legal rights, dispute resolution procedures, or User data privacy will be implemented only after appropriate notice and compliance with applicable consumer protection laws.
9.6 User Acknowledgment and Agreement
By using BRIDGES Engage, you:
- Acknowledge that NeuroAI may modify these Terms at its discretion, subject to applicable legal requirements.
- Agree to review and comply with the most current version of the Terms posted on the Platform.
- Understand that continued use constitutes acceptance of any modifications, and refusal to accept modifications requires discontinuation of use.
- Acknowledge that pricing, subscriptions, and feature availability may change without liability to NeuroAI.
- Agree that NeuroAI has no obligation to maintain prior versions of the Terms after modifications take effect.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms and Conditions (“Terms”) and any dispute, claim, or controversy arising out of, related to, or in connection with the use of BRIDGES Engage (the “Platform”), including its interpretation, validity, enforceability, and performance, shall be governed by and construed in accordance with the laws of:

If a provision of these Terms is determined to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.

10.2 Mandatory Dispute Resolution Process
(a) Initial Informal Resolution
Before initiating formal legal proceedings, both NeuroAI Inc. (“NeuroAI,” “we,” “us,” or “our”) and the User agree to attempt good faith informal resolution of any dispute.
- The party raising the dispute must submit a written notice to the other party detailing the nature of the claim, facts supporting the dispute, and the requested resolution.
- Users must send dispute notices to legal@neuroai.ca within 30 days of becoming aware of the issue.
- NeuroAI will respond within 30 days of receipt, engaging in informal discussions to resolve the dispute.
Failure to participate in good faith in the informal resolution process may be considered by an arbitrator or court when determining the resolution of a dispute.
10.3 Binding Arbitration Agreement
(a) Agreement to Arbitrate
If an informal resolution cannot be reached within 60 days, both parties agree that any dispute, controversy, or claim shall be exclusively resolved through binding arbitration, except for claims that qualify for small claims court as described below.
By using BRIDGES Engage, the User waives the right to litigate disputes in court and agrees to arbitration as the sole and exclusive remedy for resolving disputes.
(b) Arbitration Procedure
- The arbitration shall be conducted by a neutral arbitrator in accordance with the rules of [Specify Arbitration Institution] (e.g., American Arbitration Association (AAA), JAMS, or a comparable arbitration body).
- The arbitration shall be held in [Specify City, Province/State], unless both parties agree to an alternative location or virtual arbitration.
- Arbitration shall be conducted in the English language unless otherwise agreed.
- The arbitrator shall have exclusive authority to resolve all disputes, including but not limited to issues related to arbitrability, contract interpretation, and enforcement of these Terms.
(c) Costs of Arbitration
- Each party shall bear its own legal costs, attorney’s fees, and expenses, unless the arbitrator determines that awarding costs is appropriate under the governing arbitration rules.
- NeuroAI shall cover the arbitrator’s fees for Users who demonstrate financial hardship, provided that the User submits a formal request for fee waiver before arbitration begins.
(d) Small Claims Court Exception
Notwithstanding the above arbitration agreement, either party may seek to resolve disputes in small claims court if the claim:
- Falls within the jurisdictional monetary limit of small claims courts in the applicable province/state; and
- Seeks only monetary damages and does not involve injunctive or equitable relief.
Filing a claim in small claims court does not waive either party’s obligation to arbitrate all other disputes.
10.4 Class Action Waiver
Users agree that any dispute resolution shall be conducted on an individual basis only.
- No Class Actions – Users waive the right to bring or participate in any class action, collective action, private attorney general action, or other representative proceeding against NeuroAI.
- No Consolidation of Claims – Arbitration or small claims proceedings must be conducted on a one-on-one basis, and claims may not be combined with other Users’ claims.
If this class action waiver is found to be unenforceable in any jurisdiction, the entire arbitration agreement shall be null and void with respect to that jurisdiction, and disputes shall be resolved in a court of competent jurisdiction.
10.5 Injunctive and Equitable Relief
Notwithstanding any provision in these Terms, NeuroAI retains the right to seek injunctive or equitable relief in:
- Any court of competent jurisdiction, where necessary to protect its Intellectual Property, confidential information, or proprietary rights.
- Cases involving actual or threatened violations of intellectual property rights, misuse of AI-generated insights, fraud, or security breaches.
This means NeuroAI may bypass arbitration for claims seeking a court-ordered remedy (such as stopping the misuse of its proprietary content).
10.6 Survival of Dispute Resolution Provisions
The provisions in this Governing Law and Dispute Resolution section shall survive:
- Termination of a User’s account;
- Discontinuation of the BRIDGES Engage platform; and
- Any expiration of these Terms.
By continuing to use BRIDGES Engage, Users affirmatively acknowledge and accept this dispute resolution process and waive their right to trial by jury or class actions to the fullest extent permitted by law.
10.7 User Acknowledgment and Agreement
By using BRIDGES Engage, you:
- Acknowledge that disputes shall be resolved through binding arbitration, not court litigation.
- Waive the right to class actions or representative lawsuits.
- Agree to first attempt informal dispute resolution before initiating arbitration or small claims proceedings.
- Understand that claims for injunctive or equitable relief related to NeuroAI’s intellectual property may still be brought in court.
- Accept that you are bound by this dispute resolution clause, even if you discontinue use of the Platform.
